Scope of Website

This Agreement applies solely to the Madranol Motors Website.

The Website may contain links to third-party websites including financial institutions, insurance providers, logistics partners and other service providers.

Madranol Motors does not control such websites and accepts no responsibility for their content, privacy practices or policies.

Permitted Use of the Website

Madranol Motors grants you a limited, non-exclusive, non-transferable and revocable licence to access and use the Website.

• Use of the Website must be for personal and lawful purposes.
• No copying, reproduction, redistribution or republication of content without written consent.
• No alteration or tampering with any part of the Website.
• Full compliance with Ugandan laws is required at all times.

Intellectual Property and Copyright

All content available on this Website, including text, images, vehicle listings, graphics, logos, software and compiled data, is owned by or licensed to Madranol Motors.

Such content is protected under the laws of Uganda including the Copyright and Neighbouring Rights Act, Cap 215 and applicable international intellectual property laws.

Trademarks and Brand Identity

The name “Madranol Motors and Logistics Limited” and all associated logos, slogans and brand identifiers are trademarks of Madranol Motors.

Nothing contained on this Website grants any right to use such trademarks without prior written authorisation.

User Submissions and Content

Where the Website permits users to post reviews, comments, messages, ratings or other content ("User Submissions"), the following conditions shall apply.

• User Submissions shall be deemed non-confidential.
• By submitting content, you grant Madranol Motors a royalty-free, perpetual, irrevocable, non-exclusive worldwide licence to use, reproduce, modify, publish, translate and distribute such content.
• You are solely responsible for any content you submit.
• You warrant that your submission does not infringe any third-party rights.

The purchase of any vehicle or service shall be governed by a separate written sale agreement.

Indemnity

You agree to indemnify, defend and hold harmless Madranol Motors and its directors, officers, employees, agents and affiliates from any claims, liabilities, damages, losses or expenses arising from:

• Your use of the Website
• Your breach of these Terms
• Violation of applicable laws
• Any User Submission posted by you
• Damage caused to a third party as a result of your actions

Madranol Motors is committed to protecting your personal data in accordance with the Data Protection and Privacy Act, 2019 of Uganda.

Any personal information collected through this Website shall be processed in accordance with our Privacy Policy.

By using this Website, you consent to the collection, processing and use of your information as outlined in our Privacy Policy.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Uganda.

Any dispute arising out of or in connection with this Agreement or your use of the Website shall be subject to the exclusive jurisdiction of the Courts of Uganda.

Madranol Motors encourages all users to seek amicable resolution of any concern before initiating formal legal proceedings.

General Provisions

If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, unenforceable or unlawful, such provision shall be severed from this Agreement and the remaining provisions shall continue in full force and effect.

Failure by Madranol Motors to enforce any right or provision under this Agreement shall not constitute a waiver of such right or provision.

These Terms and Conditions together with our Privacy Policy constitute the entire agreement between Madranol Motors and the user concerning use of the Website.

Vehicle Purchase, Deposit and Payment Terms

The following payment terms apply to all vehicle purchases, reservations and import orders processed through Madranol Motors and Logistics Limited.

13.1 Vehicles Available in Uganda (In-Stock Vehicles)

For vehicles physically available within Uganda, the following terms shall apply:

• A non-refundable commitment deposit equal to fifty percent (50%) of the agreed vehicle purchase price shall be payable upon confirmation of the sale.
• The remaining fifty percent (50%) balance shall be paid within a period of three (3) to six (6) months, as agreed between the client and Madranol Motors.
• Interest shall be charged on the outstanding balance at the rate specified in the sale agreement.
• Madranol Motors reserves the right to repossess the vehicle and retain the deposit where payment obligations are not fulfilled.

13.2 Imported Vehicles (Japan Shipment Orders)

Where a vehicle is sourced from Japan or another international market on behalf of a client, the following conditions apply:

• A non-refundable commitment deposit of thirty percent (30%) of the agreed purchase price shall be paid before sourcing and shipment commence.
• Payment of the deposit authorises Madranol Motors to proceed with bidding, sourcing, shipping and importation activities.
• The outstanding balance shall be paid according to the sale agreement and ordinarily completed within six (6) months.
• Interest may apply to any outstanding balance.
• Deposits shall be forfeited where a client withdraws after sourcing or shipment has commenced.

13.3 General Payment Conditions

• All prices displayed on the Website or quoted by representatives are subject to change without notice.
• Final pricing shall be confirmed in writing through an official sale agreement.
• A formal sale agreement shall be executed before or upon payment of any deposit.
• Ownership and legal title of the vehicle shall remain with Madranol Motors until full payment has been received and cleared.
• Payments shall ordinarily be made in Uganda Shillings (UGX) unless otherwise agreed in writing.
• Proof of payment shall be issued for all payments received.
